1. Agreement and scope

These Terms of Service (“Terms”) govern access to and use of NWAC Command Center (the “Platform”), provided by Ballogy, Inc. (“we,” “us,” or “our”).

These Terms apply to your use of the Platform. If you do not agree to them, do not use the Platform.

If you use the Platform on behalf of a school, conference, or other organization, you represent that you are authorized to perform the actions you take on its behalf.

A separately executed agreement with your organization controls to the extent it conflicts with these Terms concerning that organization’s use of the Platform.

2. Purpose of the Platform

The Platform supports athletic administration and document workflows, including:

  • Letters of Intent.
  • Electronic signatures and acknowledgments.
  • Rosters and scholarship information.
  • Eligibility reports and transfer waivers.
  • Custom forms and document packets.
  • Notifications, reporting, and activity records.

The Platform is a software service. It does not itself award scholarships, guarantee admission, determine athletic eligibility, or replace official institutional and conference rules.

3. Accounts and authorized access

You agree to:

  • Provide accurate account information.
  • Use only accounts and roles you are authorized to use.
  • Protect passwords and other authentication credentials.
  • Not share accounts or access information without authorization.
  • Promptly report suspected unauthorized access.
  • Notify the appropriate administrator if your role or affiliation changes.

Access may be restricted or removed when your authorization ends or when necessary to protect the Platform and its users.

4. Minors and parent or guardian participation

If you have not reached the age of legal majority in your jurisdiction, your use must be authorized by a parent or guardian where required by law.

A parent or guardian participating in a workflow represents that they have the authority required for the action they take.

These Terms do not change who may legally consent to a document or access a student’s education records.

5. Your responsibilities for documents and information

You are responsible for the accuracy, completeness, and authorization of information you submit and actions you take.

Before sending, signing, approving, or rejecting a document, review its contents carefully. You must not:

  • Forge a signature or sign for another person without lawful authority.
  • Submit false eligibility, identity, scholarship, or other information.
  • Upload information you are not authorized to disclose.
  • Access records outside your assigned responsibilities.
  • Misrepresent your role, school affiliation, or authority.

Schools and NWAC remain responsible for their applicable policies, decisions, and authorized use of records.

6. Electronic records and signatures

The Platform enables electronic records, signatures, initials, acknowledgments, and approvals.

When you complete an electronic signing action, you represent that you are the identified signer or are otherwise lawfully authorized, and that you intend the action to have the effect stated in the document and signing process.

Electronic signatures may be legally binding where applicable legal requirements are satisfied. A signature’s legal effect depends on the document, circumstances, and applicable law.

The Platform may maintain timestamps, IP addresses, consent records, and activity histories associated with signing.

You should download or otherwise retain copies of completed documents for your records.

Where legally required, a separate electronic-records consent process will describe access requirements, available paper alternatives, and how to withdraw consent. These Terms do not replace disclosures or consent required by law.

7. LOI approval and conference oversight

For the Platform’s LOI workflow, School Admin finalization is the final school approval step.

NWAC administrators provide conference oversight and may exercise authorized rejection or voiding functions. They do not provide a separate signature or final approval required to complete the school’s LOI workflow.

A Platform status does not override the document’s terms, applicable law, or governing institutional and conference rules. Questions about an LOI’s validity or effect should be directed to the responsible school or NWAC.

8. Deadlines and notifications

The Platform may display deadlines, countdowns, reminders, and status updates.

You remain responsible for meeting applicable deadlines and verifying that required actions were completed. Email delivery, browser availability, and other factors may affect whether a notification reaches you.

A countdown or reminder does not independently extend a deadline or amend a document. Extensions must be authorized through the applicable process.

If a displayed deadline conflicts with an official instruction or document, promptly contact the responsible administrator.

9. AI assistant

The Platform may offer an AI assistant to help locate or explain information.

AI-generated responses may be inaccurate, incomplete, or outdated. They are informational only and are not legal advice, official eligibility determinations, or binding interpretations of conference rules.

Verify important information against official source materials and with the responsible administrator.

Do not submit credentials or unnecessary confidential or personal information to the AI assistant.

10. Acceptable use

You may not:

  • Attempt to bypass permissions or security controls.
  • Access, copy, or disclose records without authorization.
  • Introduce malware or interfere with service operation.
  • Scrape or extract information through unauthorized automated means.
  • Use the Platform to harass others or conduct unlawful activity.
  • Attempt unauthorized security testing.
  • Upload content that infringes another person’s rights.

We may investigate suspected misuse and restrict access as permitted by law and applicable agreements.

11. Your content and Platform ownership

As between you and us, you or the applicable rights holder retain ownership of documents and information submitted to the Platform.

You grant us a limited, nonexclusive right to host, process, reproduce, display, and transmit that content as necessary to provide, secure, and support the Platform and fulfill applicable legal and contractual obligations.

This permission does not transfer ownership of your content.

The Platform’s software, design, branding, and related materials belong to us or our licensors. You receive only the limited right to use the Platform as authorized.

12. Privacy and confidentiality

Our Privacy Policy describes how personal information is handled.

You must use information available through the Platform only for authorized purposes and protect it against unauthorized disclosure.

Access to a record does not give you unrestricted permission to download, redistribute, publish, or use it for unrelated purposes.

13. Third-party services

The Platform may depend on external services for authentication, hosting, email, AI assistance, and other functions.

Third-party services may be subject to separate terms and privacy policies. We do not control their availability or all aspects of their operation.

This section does not reduce obligations we have under applicable law or a separate agreement with your organization.

14. Fees and billing

Payments and billing are handled outside the Platform under separate arrangements.

These Terms do not create an in-app payment obligation or authorize charges to a payment method. Any fees, payment schedules, renewal terms, or refunds are governed by the applicable separate agreement.

15. Availability and changes

We may maintain, update, or modify the Platform. Temporary interruptions may occur because of maintenance, outages, security events, or factors outside our control.

Unless a separate agreement states otherwise, we do not guarantee uninterrupted or error-free operation.

We will provide notice of material service changes when required by law or an applicable agreement.

16. Suspension and termination

We may suspend or terminate access when reasonably necessary because of:

  • Unauthorized use or a material violation of these Terms.
  • A security threat.
  • A legal requirement.
  • A request from an authorized organizational administrator.
  • The end of your authorized affiliation or service arrangement.

Where appropriate and practicable, we will provide notice and an opportunity to address the issue.

Termination of an account does not necessarily delete signed documents, education records, or audit information. Retention and access remain subject to applicable law, institutional requirements, and agreements.

17. Disclaimers

To the extent permitted by law and except as expressly provided in a separate written agreement, the Platform is provided on an “as is” and “as available” basis.

We do not guarantee that use of the Platform will result in admission, athletic eligibility, financial aid, a scholarship, approval of a document, or any particular administrative outcome.

Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.

18. Limitation of liability

To the extent permitted by law, neither party will be liable to the other under these Terms for indirect, incidental, special, consequential, or punitive damages.

Any financial cap on liability and exceptions to that cap will be governed by the applicable signed agreement with the participating organization.

Nothing in these Terms limits liability that cannot be limited under applicable law or restricts a person’s nonwaivable legal rights.

19. Disputes

Before filing a claim, either party may contact the other to attempt an informal resolution. This does not prevent urgent legal relief or suspend any legal deadline unless agreed in writing.

20. Changes to these Terms

We may update these Terms. We will identify the updated effective date and provide notice of material changes.

We will obtain renewed acceptance when required by law or the nature of the change.

21. General provisions

If a provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.

These Terms, together with any applicable separate agreement, describe the agreement governing use of the Platform. They do not amend a signed LOI, scholarship agreement, or other document processed through the Platform.
